1. Name
The name of the Society shall be East Cork Choral Society (hereinafter called "the Society" or the "Choir"
2. Objectives
The objectives of the Society shall be:
- To foster and promote the singing of choral music either separately or in co-operation with other musicians.
- To present or assist in presenting public concerts and recitals; principally in oratorio works; the Choir does not take part in competitions.
- Where possible, to provide a platform to emerging musical talent to perform in concerts or works, to enhance their portfolios or education.
3. Membership
- We are a welcoming, community-based choir where no auditions are held.
- Membership shall consist of persons who have paid the annual subscription.
- Others may be co-opted temporarily, if needed
4. Officers
The following officers shall be elected by ballot at the Annual General Meeting
- Chairperson
- Vice-Chairperson
- Secretary
- Treasurer
- Registrar
- Publicity Secretary/PRO
- Concert Manager
- Minute Secretary
- 4 representatives of the Members
5. Committee
The committee shall comprise all the officers of the Society, together with the Musical Director
6. Meetings
- An Annual General Meeting (AGM) of the Society shall be held in each calendar year at such a time (not being more than 15 months after the holding of the preceding Annual General Meeting) and place as the Society shall determine.
- The business of the AGM shall include:
- To receive for approval a report of the year's activities from the committee
- The Treasurer's report and approval of the accounts and balance sheet
- The fixing of the subscriptions for the ensuing year
- The election of officers and members of the Committee
- Any other business
7. Quorum
The quorum of the Committee meetings shall be 7 members of the Committee
8. Finance
- The Society shall have power to raise money by means of membership subscriptions, donations, proceeds from concerts and social activities, and grants-in-aid from statutory authorities
- The assets of the Society shall be applied solely for the performance of the Society's objectives
- Any Committee member who incurs out-of-pocket expenses, in support of the activities of the Society, will be reimbursed
- The Committee shall ensure that proper books of accounts are kept
9. Health and Safety (H&S)
Members have a duty of care under health and safety law for themselves and others affected by their actions. Members will always be notified of H&S issues at a performance venue. If a member has an H&S issue, they must speak to a Committee member
10. Dissolution
In the event of the dissolution of the Society, any assets remaining after the satisfaction of debts and liabilities shall be given to such other institutions having similar objectives to those of the Society and/or charities as agreed by the Society
11. Alterations To The Constitution
Alterations to the Constitution shall receive the assent of not less than two thirds of the members present and voting, being not less than one third of the total membership of the Society. A resolution for the alteration of the Constitution shall be received by the Secretary at least 21 days before the meeting at which the resolution is to be presented. At least 14 days' notice in writing of such meeting shall be given by the Secretary to the members and shall include notice of the alteration(s) proposed
